These Terms and Conditions constitute a contract between you and Reel FX, Inc., a Texas corporation, and apply to all users of this Website. In these Terms and Conditions “you” or “your” means any person or entity using this Website, provided that if such person is under 18 years of age or the age of majority in your jurisdiction, whichever is older (the “Age of Majority”), it also includes such person's parent or legal guardian.

This Website is provided by Reel FX, Inc., and its affiliates and subsidiaries (collectively referred to herein as “Reel FX” or “we,” “us,” “our” or other similar pronouns). Your use of this Website is subject to the following terms and conditions. These Terms and Conditions form a legally binding agreement that contains important information about our Website and your permitted use of it. Please read and understand these Terms and Conditions and the other information referred to or linked to it prior to using this Website. We reserve the right to change, update, or otherwise modify these Terms and Conditions at any time without notice, so please review these Terms and Conditions every time you use this Website.

If any portion of these terms is held to be unenforceable, the unenforceable portion shall be construed in accordance with applicable law to the greatest extent possible and the remainder of the provisions will remain in full force and effect. Any cause of action you may have with respect to this website located at www.webosaurs.com (the “Website”) must be commenced within one year after the claim or cause of action arises or such claim or cause of action is barred.

2. Limited Right to Use This Website:

Reel FX grants you a limited, personal, nontransferable, non-sublicensable, revocable license to: (a) access and use the Website, Website content including images, logos, Submissions and information on the Website (collectively “Content”), and Reel FX's services only in the manner offered by Reel FX, and (b) access and use of the Reel FX computer and network services offered within the Website (the “Reel FX Systems”), only in the manner expressly permitted by Reel FX. Except for this limited license, Reel FX does not convey any interest in or to the content on the Website, Reel FX's services, Content, or the Website itself or any other Reel FX property by permitting you to access the Website. Except to the extent required by law or as expressly provided herein, none of the Website Content or system may be reverse-engineered, modified, reproduced, republished, translated into any language or computer language, re-transmitted in any form or by any means, resold or redistributed without the prior written consent of Reel FX. You may not make, sell, offer for sale, modify, reproduce, display, publicly perform, import, distribute, retransmit or otherwise use the Website or any Content in any way, unless expressly permitted to do so by Reel FX.

3. Submissions:

You hereby grant to Reel FX a perpetual, non-cancellable, royalty free, non-exclusive and assignable right and license to display, use, store, assign, transfer and dispose of any Submission, in any manner, in our sole discretion. A "Submission" is any text, message, idea, concept, pitche, suggestion, story, screenplay, treatment, format, artwork, photograph, drawing, video, audiovisual work, musical composition (including lyrics), sound recording, characterization, your or other avatar's name, likeness, voice, username, profile, action, appearance, performance or other biographical information or material, or other similar materials that you submit, post, upload, embed, display, communicate or otherwise distribute on or through the Website. From time to time, and in connection with different functions of the Website, we expressly request or enable you to provide to us with Submissions, via the Website, for review, display or such other purpose as we deem appropriate in our sole discretion. You hereby appoint us as your agent with full power to enter into and execute any document and/or do any act we may consider appropriate to confirm the grant of rights, consents, agreements, assignments and waivers set forth in these terms of use. You agree that any Submissions you make are not being made in confidence or trust and that no confidential or fiduciary relationship is intended or created between you and us in any way, and that you have no expectation of any review, compensation or consideration of any type.

Reel FX disclaims any representation or warranty that your unauthorized use of the Content will not infringe the rights of Reel FX or any third parties not owned or affiliated with Reel FX. All Content displayed on Reel FX's Website is either the property of, or used with permission by, Reel FX. The use of these materials by you, or anyone else authorized by you, is prohibited unless specifically permitted by these Terms and Conditions or specific permission provided elsewhere on Reel FX's Website. Except for the foregoing, nothing contained in these Terms and Conditions may be construed as conferring to you any license or right to any Content under any copyright. Any unauthorized use of the images may violate copyright laws, trademark laws, the laws of privacy and publicity, and communications regulations and statutes.

5. Trademarks:

The trademarks, logos, service marks, brand identities, title, characters, trade names, graphics, designs, copyrights and the trade dress of this Website (collectively the “Trademarks”), displayed on the Website are protected intellectual properties that are registered and unregistered trademarks of Reel FX, its affiliates and others. Nothing contained on this Website may be construed as granting, by implication, or otherwise, any license or right to use any Trademark displayed on this Website without the written permission of Reel FX or such third party that may own the Trademark displayed on the Website. Your misuse of the Trademarks displayed on the Website, or any other Content, except as provided herein, is strictly prohibited.

Our Privacy Policy is available for review and is hereby incorporated by reference into these Terms and Conditions. We may occasionally request or you may choose to submit personal information through this website. Information you submit will be used as described in our Privacy Policy. You agree that you are solely responsible for the content and accuracy of any information submitted through this website.

7. User Conduct:

You agree to use the Website only for lawful purposes. You agree not to take any action that might compromise the security of the Website, render the Website inaccessible to others or otherwise cause damage to the Website or the Content. You agree not to add to, subtract from, or otherwise modify the Content, or to attempt to access any Content that is not intended for you. You agree not to use the Website in any manner that might interfere with the rights of third parties. Without limiting the foregoing in any manner, you agree that:

  5. (e) You may not use or access the Website in any way that, in Reel FX's judgment, adversely affects the performance or function of the Website or Reel FX's network or interferes with the ability of authorized parties to access the Website or Reel FX's network; or
  6. (f) You may not frame or utilize framing techniques to enclose any portion or aspect of the Content or Website, without the express written consent of Reel FX.

If you do any of the above, Reel FX may, in its sole discretion, suspend your account indefinitely or cancel your account permanently.

8. Chat Rooms, Message Boards, and Forums:

Reel FX offers certain features on this Website that permit posting or exchanging information through the Website, such as message or bulletin boards, forums, and chat rooms (“Chat Rooms”). Although we periodically monitor the information exchanged and posted in these Chat Rooms, in no event does Reel FX assume or have any responsibility or liability for any information, data, or postings or for any claims, damages or losses resulting from their use or appearance on or in conjunction with this Website or elsewhere. Therefore, users remain solely responsible for the content of their messages and postings.

Reel FX intends to monitor, filter, censor, and regulate information or content that you provide on this Website or through these Chat Rooms. Further, Reel FX reserves the right to revoke the privileges of any user who does not comply with these Terms and Conditions, including the Bad Behavior Reporting section below, or any other code of conduct or written policy or rule that Reel FX may implement, from time to time, on the Website. Reel FX also reserves the right to contact any third party who may have an interest in preserving the safety of users (such as a school or law enforcement) regarding the content of any post and supplying identifying information regarding such poster to such third party.

Without limiting the foregoing, you agree not to submit, upload or post any Submissions or information to this Website or any Chat Rooms which:

  1. (a) are fraudulent, unlawful, defamatory, obscene, pornographic, vulgar, offensive, profane, sexually explicit, indecent, threatening, abusive, violent, illegal, rude, harassing, or otherwise improper, or that violates any applicable domestic or international law, or government regulation (including, without limitation, those of any state, foreign country, securities exchange, the S.E.C., and the F.C.C.);
  2. (b) infringes any intellectual property or other right of any person or entity, including but not limited to, violating anyone's copyrights, patents, trade secrets, trademarks, trade names or other proprietary right of a third party, or would otherwise give rise to civil liability;
  3. (c) falsifies or deletes author attributions, legal notices or other proprietary designations;
  4. (d) violates any law or regulation;
  5. (e) constitutes or encourages conduct that could constitute a criminal offense, under any applicable law or regulation;
  6. (f) contains viruses, corrupted files, or other materials that may cause damage to another's computer,
  7. (g) advertises or otherwise solicits funds or sales of goods or services, or which disseminates any junk mail, spam, chain letters, schemes or other form of such solicitation,
  8. (h) is false, deceptive, or misleading;
  9. (i) impersonates any person or entity including, but not limited to, a Reel FX employee, officer, or director, or falsely states or otherwise misrepresents your affiliation with a person or entity;
  10. (j) violates an applicable U.S. or foreign law, treaty, regulation or convention related to privacy, publicity, data protection, electronic communications or anti-spamming; or
  11. (k) promotes, encourages or provides instructions or information about how to engage in illegal conduct or commit illegal activities, promote physical harm or bodily injury, or promote any illegal act of cruelty to animals. This includes, but is not limited to, providing instructions on how to assemble bombs and any other weapons.

You acknowledge that our Chat Rooms and features offered therein are for public and not private communications, and you have no expectation of privacy with regard to any Submission to a Chat Room. We cannot guarantee the security of any information you disclose through a Chat Room; you make such disclosures at your own risk.

9. Bad Behavior Reporting:

In the event that you suspect that another Website user is acting inappropriately in the online environment, we have added a bad behavior reporting icon on the bottom toolbar for your use. Once you initiate a bad behavior report, please follow the prompts and complete the requested information. We will investigate all bad behavior reports submitted to us.

A log will be kept of all bad behavior reports. Submitting a false or misleading bad behavior report against another Website user, will report in a bad behavior report filed against you and your account. Bad behavior reports may also be initiated by us, in the event that you violate any of these Terms or Conditions. You can view the reports that you previously submitted, as well as the reports that have been submitted against you (without the reporter's screen name). If you are the subject of a bad behavior report, the following will occur:

  • First Report - we will send a warning to your user account;
  • Second Report - we will send the report to the parent account associated with your account;
  • Third Report – you will be suspended for 48 hours and an email is sent to the associated parent account
  • Fourth Report -   you will no longer be authorized to use the Website. No fees, payments or other amounts will be refunded to you.

10. Security of Your Account:

IT IS IMPORTANT THAT YOU REMEMBER YOUR USERNAME AND PASSWORD AND THAT YOU KEEP YOUR USERNAME, PASSWORD IN A SAFE PLACE OFFLINE.

We will use your username and password to identify you when you return to our Website. If you forget your username or password, you may not be able to access the certain areas of the Website. You are responsible for maintaining the confidentiality of your account information, and for all activities that occur through the use of your account. You agree to: (a) immediately notify Reel FX of any unauthorized use of your account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. Reel FX will not be liable for any loss or damage arising from your failure to comply with this section. You may be issued a new password or required to change your password from time to time.

We have put physical, electronic and managerial procedures into place in order to help safeguard and prevent unauthorized access, use and/or disclosure of your personally identifiable information. Although we use reasonable efforts to safeguard the security of your personally identifiable information, transmissions made on or through the Internet and personally identifiable information stored on our servers or the servers of third parties that we use are vulnerable to attack and cannot be guaranteed to be secure. In addition, submissions made via email are not protected by encryption and are vulnerable to interception during transmission. We disclaim responsibility for all negligent acts that may result in disclosure of your personal information.

11. Termination:

Reel FX reserves the right to terminate this Agreement and immediately remove, cancel or suspend access to and use of the Website for any reason, including if you violate these Terms and Conditions, the Privacy Policy, or any other rule or code of Reel FX, or for any other reason at its sole discretion.

12. Hyperlinks:

  1. (a) Out Bound Hyperlinks: The Website may contain links to third-party Websites and resources (collectively, “Linked Sites”). These Linked Sites are provided solely as a convenience to you and not as an endorsement by Reel FX of the content on such Linked Sites. Reel FX makes no representations or warranties regarding the correctness, accuracy, performance or quality of any content, software, service or application found at any Linked Site. Reel FX is not responsible for the availability of the Linked Sites or the content or activities of such sites. If you decide to access Linked Sites, you do so at your own risk. In addition, your use of Linked Sites is subject to any applicable policies and terms and conditions of use, including but not limited to, the Linked Site's privacy policy.
  2. (b) Inbound Hyperlinks: Reel FX grants you a limited, non-exclusive, revocable right to hyperlink to the Homepage of this Website. Unless specifically authorized by Reel FX, you may not connect “deep links” to the Website, i.e, create links to this site that bypass the home page or other parts of the Website. Any web site or other device that links to this Website or any page available therein is prohibited from (a) replicating Content, (b) using a browser or border environment around the Content, (c) implying in any fashion that Reel FX or any of its affiliates are endorsing it or its products, (d) misrepresenting any state of facts, including its relationship with Reel FX or any of its affiliates, (e) presenting false information about Reel FX products or services, and (f) using any logo or mark of Reel FX or any of its affiliates without express written permission from Reel FX.

13. Submissions:

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about the Website or any of our services (“Submissions”), provided by you to Reel FX are non-confidential and shall become the sole property of Reel FX. Reel FX shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

14. Disclaimers of Warranties:

REEL FX MAKES NO EXPRESS OR IMPLIED WARRANTIES, REPRESENTATIONS OR ENDORSEMENTS WHATSOEVER WITH RESPECT TO THE WEBSITE, THE SERVICE OR THE CONTENT. REEL FX EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, WITH REGARD TO THE WEBSITE, THE CONTENT, AND ANY PRODUCT OR SERVICE FURNISHED OR TO BE FURNISHED VIA THE WEBSITE. 15. Limitation of Liability:

16. Indemnification:

YOU HEREBY AGREE TO INDEMNIFY AND HOLD REEL FX, ITS SUBSIDIARIES AND AFFILIATES, AND EACH OF THEIR DIRECTORS, OFFICERS, AGENTS, CONTRACTORS, PARTNERS AND EMPLOYEES, HARMLESS FROM AND AGAINST ANY LOSS, LIABILITY, CLAIM, DEMAND, DAMAGES, COSTS AND EXPENSES, INCLUDING ALL LEGAL FEES IN CONNECTION WITH ANY CLAIM ARISING OUT OF OR RESULTING FROM: (A) ANY BREACH BY YOU OF THIS USER AGREEMENT; (B) YOUR USE OF THIS WEBSITE, YOUR ACCOUNT(S) OR YOUR SUBMISSION OF USER CONTENT; (C) ANY PURCHASE BY YOU THROUGH THE WEBSITE; OR (D) ANY VIOLATION BY YOU OF ANY LAW OR THE RIGHTS OF ANY THIRD PARTY. YOU MUST USE YOUR BEST EFFORTS TO COOPERATE WITH REEL FX IN THE DEFENSE OF ANY CLAIM. WE RESERVE THE RIGHT TO ASSUME THE EXCLUSIVE DEFENSE AND CONTROL OF ANY MATTER OTHERWISE SUBJECT TO INDEMNIFICATION BY YOU.

17. Jurisdiction, Venue, and Choice of Law:

By visiting or using the Website, you agree that the laws of the State of Texas, without regard to principles of conflict of laws, will govern these Terms and Conditions and any dispute of any sort that might arise between you and Reel FX or any of our affiliates. With respect to any disputes or claims not subject to arbitration (as set forth below), you agree not to commence or prosecute any action in connection therewith other than in the state and federal courts of Texas, and you hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to, venue and jurisdiction in the state and federal courts of Texas.

18. Arbitration:

YOU AND REEL FX AGREE THAT, THE SOLE AND EXCLUSIVE FORUM AND REMEDY FOR ANY AND ALL DISPUTES AND CLAIMS RELATING IN ANY WAY TO OR ARISING OUT OF THESE TERMS OF USE, THIS WEBSITE (INCLUDING YOUR VISIT TO OR USE OF THIS WEBSITE) WILL BE FINAL AND BINDING ARBITRATION, except that: (a) to the extent that either of party has in any manner infringed upon or violated or threatened to infringe upon or violate the other party's patent, copyright, trademark or trade secret rights, or (b) you have otherwise violated any of the user conduct rules set forth in these Terms and Conditions, or in any rule or code of conduct established by Reel FX, then the parties acknowledge that arbitration is not an adequate remedy at law and that injunctive or other appropriate relief may be sought.

Arbitration under this Agreement shall be conducted by the American Arbitration Association (the “AAA”) under its Commercial Arbitration Rules and, in the case of consumer disputes, the AAA's Supplementary Procedures for Consumer Related Disputes ( the “AAA Consumer Rules”) (collectively the “AAA Rules”). The arbitration shall be conducted in Dallas county, Texas. The allocation of costs and fees for such arbitration shall be determined in accordance with such AAA Rules and shall be subject to the limitations provided for in the AAA Consumer Rules (for consumer disputes). The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction.

To the fullest extent permitted by applicable law, NO ARBITRATION OR CLAIM UNDER THESE TERMS OF USE SHALL BE JOINED TO ANY OTHER ARBITRATION OR CLAIM, INCLUDING ANY ARBITRATION OR CLAIM INVOLVING ANY OTHER CURRENT OR FORMER USER OF THIS WEBSITE, AND NO CLASS ARBITRATION PROCEEDINGS SHALL BE PERMITTED. In no event shall any claim, action or proceeding by you related in any way to the Website (including your visit to or use of the Website) be instituted more than three (3) years after the cause of action arose.
